Important notice: section 16 contains a binding arbitration agreement and a class action waiver. They affect your legal rights. Please read them.

01Acceptance of these terms

These Terms of Use form a binding agreement between you and Sage Cerebrovascular Diagnostics Inc., a Delaware corporation doing business as Sage Cerebro ("Sage Cerebro," "we," "us," "our"), governing your access to and use of sagecerebro.com (the "Site").

By accessing or using the Site, or by submitting the waitlist or contact form, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, please do not use the Site.

You agree that these terms constitute an electronic record and that your use of the Site constitutes your electronic signature, with the same effect as a handwritten one.

02What this Site is, and what it is not

The Site provides general information about Sage Cerebro and SageSignal, links to published research, and a form for joining a waitlist.

The Site does not offer any product or service for sale. No order can be placed, no payment can be made, no account exists, no login exists, and no test results are delivered through it. Laboratory services and results delivery, when offered, operate separately under their own terms.

03Eligibility

You must be at least 18 years old to use the Site or to join the waitlist. By doing so you represent that you meet that requirement and that the information you give us is accurate.

04Medical disclaimers

Not medical advice

Everything on the Site is general information for educational purposes. It is not medical advice, not a diagnosis, and not a treatment recommendation, and it is not a substitute for consultation with a qualified healthcare professional. Never disregard professional medical advice, and never delay seeking it, because of something you read here.

No provider relationship

Using the Site does not create a physician-patient, healthcare provider-patient, or any other professional relationship between you and Sage Cerebro or any of its personnel, contractors, or affiliates.

Emergencies

If you think you are having a medical emergency, call 911 or your local emergency number immediately. The Site is not designed for and must not be used in an emergency.

Regulatory status

SageSignal is an educational wellness tool. It is not FDA approved or FDA cleared, it has not been evaluated by the Food and Drug Administration, and it is not intended to diagnose, treat, cure, or prevent any disease. It does not screen for, detect, or distinguish between any condition.

Research on this Site

The studies we link to were conducted and published by independent investigators. They concern the underlying science. They are not an evaluation of any Sage Cerebro product, and linking to them is not a claim about product performance. Findings reported in population research do not establish what any individual result means.

05The waitlist

Joining the waitlist creates no obligation on either side. It is not a purchase, a reservation, a pre-order, a deposit, or a guarantee of future availability, pricing, eligibility, or timing. We may change, pause, limit, or discontinue the waitlist, and we may decline to offer any product or service to any person, at our discretion and without liability.

You may ask to be removed at any time and we will remove you.

06Forward-looking statements

Statements on the Site about plans, capabilities, or availability describe present intentions and are not promises. They involve risks and uncertainties, including regulatory, scientific, operational, and financial factors outside our control. Actual outcomes may differ. We undertake no obligation to update any such statement.

07Intellectual property

The Site and its content, including text, layout, design, graphics, data compilations, software, and the Sage Cerebro and SageSignal names and marks, are owned by or licensed to Sage Cerebro and are protected by copyright, trademark, patent, and other laws. Our patents and patent applications are not licensed to you by anything on this Site.

We grant you a limited, revocable, non-exclusive, non-transferable licence to view the Site for your own personal, non-commercial use. You may not copy, reproduce, republish, frame, mirror, sell, or commercially exploit any part of it, remove any proprietary notice, use our marks without written permission, or create derivative works, without our prior written consent.

08Your submissions

If you send us a message, feedback, a suggestion, or any other material through the Site or by email, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, sub-licensable licence to use, reproduce, and act on it for any purpose, without compensation or attribution. You represent that you have the right to send it and that it is not confidential, is accurate, and does not infringe anyone else's rights.

Do not send us confidential or proprietary information, and do not send us health information. We cannot treat unsolicited submissions as confidential.

09Privacy

Our Privacy Policy describes what we collect through the Site and how we handle it, and is incorporated into these terms by reference.

10Prohibited uses

You may not:

11Third-party links

The Site links to journals, public health resources, and other sites we do not control. We are not responsible for their content, accuracy, availability, or practices, and a link is not an endorsement. Your use of those sites is governed by their terms.

12Disclaimers

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE.

WE DO NOT WARRANT THAT ANY INFORMATION ON THE SITE IS ACCURATE OR CURRENT, THAT THE SCIENCE DESCRIBED APPLIES TO YOU, OR THAT ANY PRODUCT WILL BECOME AVAILABLE. YOU USE THE SITE AT YOUR OWN RISK.

13Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAGE CEREBRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, EMOTIONAL DISTRESS, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, AND IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT THE LAW PERMITS.

14Indemnification

You agree to defend, indemnify, and hold harmless Sage Cerebro and its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any claim, liability, damage, loss, cost, or expense, including reasonable legal fees, arising out of or related to your use of the Site, your breach of these terms, your violation of any law or of any right of a third party, your submissions, or any false information you provide. We may assume exclusive defence and control of any matter subject to indemnification at your expense, and you agree to cooperate.

15Termination and changes to the Site

We may modify, suspend, or discontinue the Site or any part of it at any time without notice or liability, and we may block or refuse access to any person at our discretion. Sections that by their nature should survive will survive, including sections 7, 8, 12, 13, 14, 16, 17, and 20.

16Binding arbitration and class action waiver

Please read this section carefully. It affects how disputes between us are resolved.

You and Sage Cerebro agree that any dispute, claim, or controversy arising out of or relating to these terms or the Site will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and not in court, except as stated below. The arbitration will be conducted in Los Angeles County, California, or, at your election, in the county where you reside, or by telephone or written submission. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act governs this section.

Class action waiver. You and Sage Cerebro agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim, and only that claim, must proceed in court, and the rest of this section remains in force.

Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or confidential information. Claims that cannot lawfully be arbitrated are excluded.

Your right to opt out. You may opt out of this arbitration agreement by writing to support@sagecerebro.com with the subject line "arbitration opt-out" within 30 days of first accepting these terms, stating your name and the email address you used. Opting out does not affect any other part of these terms, and we will not hold it against you.

17Governing law and venue

These terms are governed by the laws of the State of California, without regard to its conflict of law principles, and by the Federal Arbitration Act as to section 16. For any dispute not subject to arbitration, you and Sage Cerebro consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, and waive any objection to that venue.

18Time limit on claims

To the extent permitted by law, any claim arising out of or related to the Site or these terms must be brought within one year after the claim arose, or it is permanently barred.

19Changes to these terms

We may revise these terms at any time. The date above changes when we do, and the revised terms take effect when posted. Material changes will be flagged on this page. Your continued use of the Site after that constitutes acceptance. A dispute is governed by the terms in effect when it arose.

20General

These terms and the Privacy Policy are the entire agreement between you and Sage Cerebro regarding the Site and supersede any prior understanding. If any provision is held unenforceable, it is severed and the rest remains in effect. Our failure to enforce a provision is not a waiver of it. We may assign these terms without restriction; you may not assign yours without our written consent. We are not liable for any delay or failure caused by circumstances beyond our reasonable control. Headings are for convenience only, and "including" means "including without limitation." You consent to receive communications from us electronically, and agree that electronic communications satisfy any legal requirement that a communication be in writing. You may not use the Site in violation of United States export laws.
